Mutual Non-Disclosure Agreement The receiving party shall keep all confidential information secret in perpetuity and may not disclose such information to any affiliate, contractor, investor, or advisor without prior written consent. The provider disclaims all warranties, whether express or implied, including merchantability and fitness for a particular purpose. The customer waives all indirect, consequential, special, punitive, or incidental damages arising from this agreement. Any dispute shall be resolved exclusively by binding arbitration in Delaware. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
